### What to Evaluate

Crypto is increasingly under legal and compliance scrutiny.\
Some projects are built with this in mind. Others are walking lawsuits waiting to happen.

This section focuses on how exposed the project is to **regulatory risk** based on:

* Jurisdiction
* Token design
* KYC/AML compliance
* Transparency and legal disclosures

#### ⚖️ Jurisdiction & Entity Structure

* Is the project registered anywhere?
* Is there a known legal entity?
* Are operations based in regulatory-safe zones?

> Example: Registered in Dubai, Switzerland, or Cayman Islands = common for Web3.\
> 🚨 If the team is US-based and offering tokens with yield, that’s SEC bait.

**Scoring:**

* ✅ Clear legal structure with known jurisdiction = higher
* ❌ No legal info + suspicious origin = lower

#### 🧾 KYC / AML / Sanctions Compliance

* Does the platform require KYC for users (especially if it’s a CEX, launchpad, or RWA platform)?
* Are they blocking sanctioned jurisdictions?
* Are they following MiCA, FATF, or US guidelines?

> Some DeFi protocols stay fully decentralized to avoid KYC but this creates a grey area.

**Scoring:**

* ✅ Clear compliance controls where applicable = stronger
* ❌ Ignoring all KYC norms when they should apply = risk

#### 💵 Token Design & Security Classification

* Could the token be considered a **security** under Howey Test or similar?
  * Promises of profit from others’ work?
  * Sales before product existed?
  * US-based users in token sale?

> ⚠️ If yes to all: potential SEC trouble.

**Scoring:**

* ✅ Utility-focused, usage-based tokens = better
* ❌ Speculative or yield-bearing tokens with no usage = red flag

#### 🧠 Public Legal Disclosures

* Has the team been transparent about legal setup?
* Are they publishing disclaimers, terms of use, or compliance docs?

> Bonus: Legal opinion letters, audit reports, public disclaimers.

**Scoring:**

* ✅ Transparent disclosures and legal awareness = high
* ❌ No legal info at all + US presence = very risky

### Summary of Scoring

**Score higher if:**

* Project has jurisdictional clarity
* Token has clear utility
* Legal info and policies are public
* KYC compliance exists where relevant

**Score lower if:**

* No legal setup
* Token fits security classification
* Operating in a grey area without mitigation
